Purpose of the company
A.
(1) The participation in companies and corporations as well as the management and administration of such participation including the purchase and sale of participations, both domestically and abroad.
(2) All activities, regardless of their legal justification, in connection with the processing of hydrocarbons and other resources, at any stage of production; the production of fuels and ancillary aids for vehicles, stationary power sources (engines) and heating systems; the production and handling of biological fuel components;
(3) The sale and trade with goods and products as well as substances of any kind, in particular materials according to (2), including storage and security of such for Third Parties;
(4) Performing services of any kind including the operation of any installations required for such services, in particular also planning, advising and implementation services in all areas, in particular the areas of occupational medicine, construction, drilling, wells, chemicals, electronics, transportation of goods and persons, gastronomy, hotel operation and tourism, information technology, infrastructure, laboratories, mechanical engineering, insurances, management consulting, licensing of processes, patents, utility patents, and similar;
(5) Allocation of manpower;
(6) Construction and operation of installations of any kind to produce energy, regardless of the energy source;
(7) Construction and operation of lines and line systems of any kind, in particular pipelines;
(8) Any and all activities in the area of waste management;
(9) The construction and operation of gas stations, car washes, repair workshops, garages, and any activities connected to any involved target group.
B.
(1) The corporation is authorized to all transactions and measures, which seem necessary or beneficial within the scope of the purpose of the company, in particular in any and all areas of activity similar to or related to the purpose of the company.
(2) In particular, the corporation is authorized to acquire and sell property as well as to conclude contracts regarding such.
(3) The corporation is authorized to construct subsidiary branches, both domestically and abroad.
Trades: OMV Refining & Marketing GmbH is member of the chamber of commerce Vienna, Niederösterreich and Steiermark and is authorized in compliance with trade laws to be active in the following trades:
1. Technical offices – engineering offices (advising engineers) for the professional specialization of mechanical engineering, limited to installation producing, supplying, processing or distributing crude oil, gas and their products or which serve to supply energy;
2. Creation of machines and machine components of any kind as well as equipment for the crude oil and gas industry in shape of an industrial operation;
3. Mechanic, limited to pipeline construction;
4. Master builder;
5. Commercial processing of crude oil;
6. Industrial production of chemical-technical products of any kind, insofar as such are intended for the operation and maintenance of machines, in particular vehicles;
7. Production and supply as well as trade with district heat;
8. Manufacture, bottling or packaging of substances and preparations intended for medicinal purposes and the production of poisons according to § 220 para. 1 GewO (Trade, commerce and industry regulation act) 1973, limited to the production of poisons, which develop or could be used during the production and processing of mineral oils (crude oil) and their derivatives;
9. Chemical laboratories according to § 212 GewO 1994;
10. Hotel and restaurant industry, buffet type, with authorizations according to § 142 para 1 let 2 to 4 GewO;
11. Commerce according to § 124 let. 11 GewO 1994;
12. Hotel and restaurant industry according to § 142 para. 1 let. 2, 3 and 4 GewO 1994, rest stop type;
13. Leasing machines, installations and machines, train wagons and other machine installation of any kind, excluding any activity bound to a certification of professional competency;
14. Commerce according to § 103 para. 1 let b line 25 GewO 1973;
15. Allocation of manpower.
Corporation units execute further trades on a legally independent basis.
